I see this fight going 5 rounds. Sherks GnP wasnt great against Franca's solid gaurd. Also, Sherk has decent chin so Penn's stand up advantage may not be enough to end the fight. I see the 3rd and 4th rounds involving a beat up Sherk getting takedowns and top position but with Penn landing more shots from the bottom nonetheless. For Penns sake i hope the UFC can school their judges on scoring fights correctly before UFC 84.
