I really don't think Sherk will "run through him", I do believe that he will cardio his way to a UD victory though, in a very close fight.
The first two rounds are gonna be HUGE. Can Sherk survive BJ's initial onslaught? Can BJ finish Sherk? Is BJ going to have enough in the tank if it get's to the 3rd round?
My personal answers to these questions would be, he will survive, BJ won't be able to finish him in the first couple rounds, and Sherk's cardio will get him the wins in rounds 3, 4, and 5.
With that said! I'm still not going to be overly shocked if BJ pulls off a submission, he is a very crafty vet, but right now I'm still leaning towards Sherk.

Yeah this fight really could go either way based on so many factors. Both guys are so good at what they do. Penn will have to come out super aggressive and try to finish early because by Round 3 Sherk will start to own if he hasnt already.

We've seen Sherk fight at 155 before, so I'm a little confused by the "shock and awe" of it happening again.
Randy Couture said he had problems taking down BJ (keep in mind that randy walks around 200 and BJ is around 170) ... it took Matt Hughes two full rounds to get him to the ground (and Hughes is generally considered a stronger wrestler than Sherk) see their fight together here:

the margin of error for mistakes in this fight is so small....if sherk can TD penn in round one, hold him there...world some small elbows....bj will undoubtedly be gassed by the end of round 2....
but if sherk gives up his back against penn.....whether it be from some crazy sweep bj does or whatever, sherk is in BIG TROUBLE.
and if penn is even slightly gassed by the 3rd round, he's going to lose, b/c sherk will make him pay with relentless td's and win the rounds....
rufio, i wouldn't put much weight into that fight as far as skill...it happened 5 years and 16 fights ago.... sherk has evolved his game much more than hughes did.....sherk sets up his td's with really crisp hands where hughes just tries to overpower opponents.

i'm a realistic person. do you think sherk is gonna pass bj's guard instantly like he did franca's? probably not...especially in the first round or two...actually, from his last 2 fights, he lands more shots when in guard and in half guard.....half guard is safer from bj's submissions.

As good as BJ is, I think Sherk may take this one. BJ is easily more well rounded and has far better skill. But what Sherk does have, he knows how to use and can be overwhelming.
The fact that he is freaking ripped and has tremendous cardio and explosion, make his takedowns very very hard to stuff. I don't really see anyone in the lightweight division except for maybe the other wrestlers like Gray Maynard being able to compete with him in that area.
I just don't see BJ being strong enough to stop the takedown. Sherk will plow right through BJ's defense. Once they are on the ground I see Sherk muscling BJ down and keeping him on his back.
Unless BJ can scramble and somehow get Sherks back I see Sherk muscling through everything BJ does and earning a decision. Especially if BJ ends up gassing.

if bj is really gassed, i could even seen sherk finishing bj very late....
but that might be pushing it

I just don't understand how people can like a fighter when going into that fighters fight they know that all he is going to try and do is enough to not get the fight stood up.
